A career in our Financial Due Diligence practice, within Deals Transaction Services, will provide you the opportunity to help organisations realise the potential of mergers, acquisitions and divestitures and capital markets. In short, we help some of the world's leading companies originate, create, execute, and realise value from deals. Through data driven insights we help our clients move in the right direction ensuring maximum value for their company.

Our team assist organisations with both buy side and sell side due diligence. As part of our team, you'll help us provide both corporate and financial buyers with peace of mind by analysing and validating all the financial, commercial, operational and strategic assumptions being made.

  • The Team:


    PricewaterhouseCoopers' Contracts and Closing Mechanisms (CCM) team sits within our Transaction Services (TS) Group. The CCM team comprises approximately 8 professionals while the TS Group comprises more than 100 professionals in Canada and thousands worldwide. Our deal professionals help clients on often complex deals using cross-functional teams, advising not just on the financial aspects of a deal, but across a wide range of operational and commercial activity.

    What you'll create and do


    We work solely on deals - helping buyers and sellers to prepare better, close faster and realize profits sooner on mergers and acquisitions, divestitures and financing transactions. 

    Our principal focuses as regards this position are in the areas of:
  • Pre-signing Sale and Purchase Agreement (SPA) advisory; and
  • Post-signing / post-closing Closing Statement advisory


  • The Clients - We support clients across a broad range of industries and on a wide range of transaction sizes:
  • major Canadian public and private corporations;
  • leading Canadian financial buyers (Private Equity and Pension Funds); and
  • inbound financial and strategic acquirers.

  • What you'll bring to this role 


  • An interest in upskilling for a digital world and technology trends, an openness to learning new tools and adapting how you work
  • A demonstrated commitment to valuing differences, developing and coaching diverse teams, and ensuring diverse perspectives are heard
  • A Chartered Accountant Designation (or local equivalent)
  • Bilingual (French and English)
  • Professional work experience at the Manager level with 3 years or more of audit and/or deals experience 
  • Proven technical and analytical capabilities including proven financial and business performance analysis skills;
  • Strong communication, presentation and report writing skills; and
  • Proven engagement team management and leadership skills.
  • Travel: The position requires flexibility and will require travel throughout North America and internationally which can be up to 30% of your time.
